Terms and Conditions
1. The Services: 101 Training services include access to one, or more, of the online learning courses provided via the 101training.co.uk website at https://101training.co.uk
2. Supplier: 101 Training is a trading name for Sally Whittle
3. The customer: An individual or company purchasing training services is hereafter known as the customer.
4. 101 Training courses are sold on a ‘per user’ license basis. Any entity wanting to use a course for more than one individual would require a license for each individual.
5. Access to Services: Access to information on our website is through the use of a personal username and password. All users of 101 Training services must provide their full name, business contact details and an email address. Access is limited to registered users authorised by 101 Training. Use of the services by other individuals is expressly prohibited. 101 Training reserves the right to reclaim lost earnings and / or claim compensation for breach of its copyright from any customer through the unauthorised use of that customer’s username and password.
6. License of data: Subject to the customer’s compliance with these terms, 101 Training grants the customer a non-exclusive, non-transferable, revocable license to use its data for purposes connected with the services. The customer shall not, in whole or in part, copy, reproduce, lend, communicate to the public, adapt or modify 101 Training content or materials.
7. Termination of license: the license granted by 101 Training to the customer under these terms shall terminate automatically upon the expiration of the subscription and the customer shall have no further right to use 101 Training materials, in accordance with these terms or otherwise.
8. Intellectual property rights: all intellectual property rights in 101 Training materials are the exclusive property of 101 Training and the customer shall have no rights, except as expressly set out in these terms.
9. Duration: license access to 101 Training materials lasts for one year after delivery of the username and password, unless otherwise agreed.
10. Contract: a contract exists between us when we confirm our acceptance of your order by invoicing you. Course fees are non-refundable. The customer agrees to our invoice terms. Non-payment may result in suspension of service. Suspension of service does not nullify your contractual obligations to 101 Training.
11. Warranty: 101 Training shall use reasonable skill and care in the performance of its obligations under this Agreement. 101 Training provides business services and customers warrant that they are using services for purposes related to their trade, business or profession.
12. Passwords: the customer undertakes that usernames and passwords are only for named users, and shall not be given to temporary or freelance employees, employees of subsidiary or associated companies or any other third-party individuals. Sharing of passwords is not allowed.
13. Confidentiality: Subject to Clause 14a, each party shall treat all Confidential Information as strictly confidential and shall not disclose Confidential Information to any person during the continuance of this Agreement and after its termination.
a. A party may disclose Confidential Information:
i. If and to the extent required by law or order of the courts, or by a regulatory or governmental body to which such party is subject, wherever situated; or
ii. On a necessary basis and under conditions of confidentiality to the professional advisers, auditors and bankers of such party; or
iii. With the prior written approval of the other party
14. Service Changes: 101 Training services are constantly being developed, updated and added to. Unless explicitly stated otherwise, any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to these terms. 101 Training reserves the right to alter the presentation of the service or prices charged at any time.
15. Availability: 101 Training makes all reasonable effort to ensure The Services are available at all times, including outside normal office hours. However 101 Training cannot accept responsibility for inability to access the Services due to failure of equipment, software failure, system downtime due to maintenance or development or congestion/failure of the Internet.
16. Content: Due to the highly changeable nature of online content, 101 Training cannot accept responsibility for inaccuracies in such information.
17. Technical Requirements: The customer is responsible for ensuring that its systems are capable of accessing the Services. 101 Training shall not be responsible for any failure of the customer to access any element of the Services due to a failure of the customer systems or computer equipment, or third party systems and / or equipment employed by the customer.
18. Email Delivery: 101 Training will not be held responsible for email delivery failures that may occur due to third party anti-spam and anti-virus filtering techniques or other technical failures. The customer agrees that 101 Training has no responsibility or liability for the deletion, corruption or failure to post, store and/or forward any messages or other content.
19. Misrepresentation: The customer agrees to provide true, accurate, current and complete information about themselves. If The customer provides any information that is untrue, inaccurate, not current or incomplete, or 101 Training has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, 101 Training has the right to suspend or terminate The customer’s account and refuse any and all current or future use of The Service (or any part thereof).
20. General Practices Regarding Use: The Subscriber acknowledges that 101 Training may establish general practices and limits concerning use of The Service and may modify such practices and limits from time to time without notice.
21. Data Protection (General): We may collect data when you use 101 Training services. For further information please see our Privacy Policy found at ADD LINK. For the avoidance of doubt the defined terms contained therein shall apply to these terms. 101 Training and the customer shall comply with the Act and GDPR.
22. Updates to terms: 101 Training reserves the right to update these terms and conditions at any time.
23. Jurisdiction: The agreement between 101 Training and the customer and any dispute or claim arising out of, or in connection with, it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. Both 101 Training and the customer irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, the agreement between 101 Training or its subject matter or formation (including non-contractual disputes or claims). 101 Training provides foreign language translations of these terms. If the foreign language’s meaning or interpretation differs from the English meaning or interpretation, the English meaning and interpretation shall prevail.
